Using Amoeba means agreeing to this.
These terms are between you and Amoeba, Inc., a Delaware corporation. "Amoeba", "we" and "us" mean Amoeba, Inc. They apply to the Amoeba desktop app, the service it syncs to (the Brain) and the website at useamoeba.com. By installing the app or using the service you agree to these terms.
You must be at least 16 years old to use Amoeba. If you are using Amoeba for a company, you confirm you can agree on its behalf.
The app is free during early access.
We give you a personal, non-exclusive, non-transferable, revocable license to install and use Amoeba during early access. You may not sell, rent or sublicense it, and you may not reverse engineer it except where the law allows. Early access is a period we define, and we can change or end it, or change what it includes. Optional managed model usage is billed as described below and on our pricing page.
Owners answer for their workspace.
A workspace belongs to a team. The workspace owner is responsible for the members they invite and the roles they grant. What teammates do, such as steering a session, taking it over or answering an approval, follows the roles the workspace has set.
Keep your sign-in methods secure. You are responsible for activity under your account.
Choose your agent and payment route.
Amoeba supports agents such as Claude Code and Codex under your own provider accounts, as well as optional Amoeba-managed model usage. For your own provider accounts, your provider’s terms and charges apply, and you must follow those terms. For managed model usage, the terms of our suppliers and of the model providers also apply. You remain responsible for what your agents do.
What managed usage costs and how it is billed.
Managed model usage is billed in USD at effective provider token cost plus 5%, applied once, with any applicable tax disclosed separately. There are no managed subscription, seat or agent-quota fees. The person who starts a run pays for that run, including its delegated and supporting model calls. Set a persistent spending allowance or explicitly choose uncapped usage before starting. Canceling a run does not erase verified usage already incurred.
Before managed usage is enabled, Stripe collects a reusable payment method and your authorization for daily off-session charges. Daily collection carries forward amounts below the payment minimum. Failed collection pauses new managed requests until payment recovery. Resetting your allowance does not erase unpaid usage. Your account shows usage and invoices; payment-method replacement requires hosted setup and consent again.
Refunds: managed usage charges are non-refundable once incurred, except for billing errors or charges you did not authorize. Report these to ken@useamoeba.com within 30 days of the invoice and we will correct or refund them.
Chargebacks: please contact us before you open one. While a payment dispute is open, we may pause managed usage.
Price changes: the managed usage prices shown on the pricing page apply to usage after the change. We show new prices before any charge at them.
Agents make mistakes. Check their work.
You own the code and other output your agents produce for you. Agents make mistakes. Review output before you rely on it or merge it. We do not guarantee that generated code is correct or secure.
Do not break things that are not yours.
- Use Amoeba only in ways that are legal where you are.
- Do not attack, probe or overload the service, and do not try to reach data in workspaces you are not a member of.
- Do not use Amoeba to harm other people's systems or data.
- Respect your teammates: what they share in a workspace is shared with the workspace, not with the world.
Yours. Full stop.
You own your code, your prompts, the output your agents produce and the content of your sessions. We claim no rights in them. You give us only the permission we need to sync that content and show it to the members of your workspace, which is the whole point of the product. Amoeba itself, its name and its software remain ours.
It is early. Expect rough edges.
Amoeba is provided as is and as available, without warranties of any kind, express or implied, including fitness for a particular purpose. It may have bugs, it may change without notice and it may be unavailable at times. Keep your work in version control and back it up.
Limited to what the law allows.
To the fullest extent the law permits, we are not liable for indirect, incidental, special or consequential damages, or for lost data, lost profits or lost business, arising from your use of Amoeba. Our total liability for any claim is limited to the amount you paid us for the service in the twelve months before the claim. Nothing here limits liability that cannot be limited by law.
Either of us can stop.
You can stop using Amoeba at any time and ask us to delete your account. We can suspend or end your access if you break these terms or if we end early access. Sections 08, 09, 10, 12 and 13 keep applying after that.
Delaware law applies.
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules. Any dispute about these terms or about Amoeba goes to the state and federal courts located in Delaware, and you and we both submit to their jurisdiction.
The usual small print.
- Severability. If a part of these terms cannot be enforced, the rest still applies.
- Assignment. You may not assign these terms without our written consent. We may assign them as part of a merger, acquisition or sale of assets.
- Entire agreement. These terms, the privacy policy and the managed usage terms on our pricing page are the whole agreement between you and us about Amoeba.
- No waiver. If we do not enforce a right straight away, we have not given it up.
- Survival. Anything in these terms that is meant to continue after they end, continues.
Open-source parts keep their own licences.
Amoeba includes components of Code - OSS (VS Code), released under the MIT licence; the IBM Plex and Inter fonts, released under the SIL Open Font License 1.1; and Three.js, released under the MIT licence. Their licences apply to them.
